1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the website and services provided by SPAG Wellness and Digital Ltd (“Company”, “we”, “us”, “our”), founded and directed by Mr. Jagishwar Singh Mahil.
By accessing our website, registering an account, or purchasing any services, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must not use our services.
2. Services Provided
We provide online yoga, fitness, wellness, and digital services including:
- Live virtual classes
- Recorded sessions
- Subscription-based wellness programmes
- Digital educational content
Our services are currently available to clients in six countries: the United Kingdom (where we are incorporated and registered), the United States of America, Canada, Australia, the United Arab Emirates, and India. We are in the process of obtaining registered licences in Australia, Canada, and India as part of our structured international expansion strategy. All international services are delivered under the governance of our UK-registered parent company until local registrations are completed.
We reserve the right to:
- Modify, suspend, or discontinue any service at any time
- Update class schedules with reasonable notice where possible
- Change instructors where necessary
- Temporarily suspend services due to technical maintenance, force majeure, or circumstances beyond our reasonable control (including but not limited to technical failures, illness, natural disasters, or government restrictions). In such cases, we will use reasonable efforts to provide alternative arrangements or account credits where appropriate
3. Eligibility
You must be at least 18 years old to purchase or access our services independently. If you are under 18, participation requires written parental or legal guardian consent prior to use. We reserve the right to request age verification documentation at any time, and we may suspend access pending verification.
4. Payments & Pricing
All payments must be made in advance of accessing services. Prices are displayed in GBP (£) unless otherwise specified. International customers may be charged in local currency depending on the payment provider used.
Payments are processed via secure, third-party payment providers. We do not store your payment card details.
We reserve the right to change pricing. Where possible, existing subscribers will be given at least 30 days' written notice of any price increase. Continued use of the service after a price change constitutes acceptance of the new pricing.
5. Cancellation Policy
You may cancel your subscription at any time. Cancellation must be submitted in writing to info@spagwellness.com or via the account management portal at least 48 hours before the next billing cycle renewal date.
Following cancellation, you will retain access to the service until the end of your current paid billing period. No partial refunds will be issued for unused time within a billing period unless otherwise stated in our Refund Policy.
6. Account Responsibility
If you create an account with us:
- You are solely responsible for maintaining the confidentiality of your login credentials
- Your account must not be shared with or accessed by any other person
- You must notify us immediately at info@spagwellness.com upon becoming aware of any unauthorised access or security breach
- We are not responsible for any losses caused by unauthorised use of your account resulting from your failure to keep credentials secure
7. Intellectual Property Rights
All content on our platform, including but not limited to videos, recordings, training materials, branding, logos, website design, and all digital resources, is the exclusive intellectual property of SPAG Wellness and Digital Ltd and is protected by UK and international copyright law.
You may not, without our prior written consent:
- Record, screenshot, or capture any live or recorded sessions
- Redistribute, share, or transmit any content to third parties
- Reproduce or copy any materials for personal or commercial use
- Use our content, branding, or materials for any commercial purpose
Any unauthorised use may result in immediate account termination and legal action.
8. Dispute Resolution
We always prefer to resolve issues informally and promptly. If you have a complaint or dispute, please contact us in writing at info@spagwellness.com in the first instance, providing full details of your concern.
We will acknowledge your complaint within 5 business days and aim to resolve it within 14 business days. If we are unable to resolve the dispute informally within 30 days of your initial complaint, either party may pursue formal legal remedies under the governing law set out in Clause 12.
9. Health & Risk Acknowledgement
Participation in online fitness activities involves inherent physical risks. By using our services, you acknowledge and confirm that:
- You are voluntarily choosing to participate in fitness activities
- You have consulted or will consult your GP or a qualified healthcare professional before participating, particularly if you have any pre-existing medical conditions, injuries, or health concerns
- You are solely responsible for assessing your own fitness level and physical capability
- You accept full personal responsibility for your health and safety during all sessions
- You will inform us of any relevant medical conditions before your first session
10. Limitation of Liability
To the fullest extent permitted by applicable law, SPAG Wellness and Digital Ltd, its Director, instructors, affiliates, and contractors shall not be liable for:
- Personal injury arising from participation in our fitness or wellness services
- Aggravation of pre-existing medical conditions
- Indirect, consequential, or special losses
- Business interruption or loss of income
- Data loss or system failure
- Losses arising from force majeure events or circumstances beyond our reasonable control
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded or limited under applicable UK law.
11. Termination of Access
We reserve the right to suspend or terminate your account and access to services without prior notice if:
- You breach any of these Terms
- You misuse the platform or engage in conduct detrimental to other users or the Company
- Payment disputes arise that remain unresolved
- We reasonably suspect fraudulent or unlawful activity on your account
Where termination is due to our breach, you will be entitled to a pro-rata refund of any prepaid unused subscription.
12. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We may update these Terms from time to time. We will notify registered users of material changes by email at least 14 days before the changes take effect. Your continued use of our services after the effective date of any changes constitutes acceptance of the revised Terms.
